This Ambassador Agreement (the “Agreement”) is entered into as of the Effective Date, by and between:

  • BlockEstateDAO, LLC (“BlockEstateDAO” or the “DAO”), a decentralized autonomous organization registered in Delaware, and
  • The undersigned individual or entity (“Ambassador”),

Each a “Party” and collectively the “Parties.”

  1. Purpose and Scope

BlockEstateDAO operates a blockchain-based real estate investment and governance platform, leveraging decentralized finance (DeFi) mechanisms for real estate tokenization.

The Ambassador Program aims to:

  • Expand awareness of BlockEstateDAO through community engagement and outreach.
  • Encourage onboarding of investors, liquidity providers, and ecosystem participants.
  • Enhance brand credibility by promoting BlockEstateDAO’s governance and token utility model.

Ambassadors are independent contractors responsible for creating engagement opportunities through networking, social media, direct outreach, and educational content.

  1. Ambassador Responsibilities

Ambassador agrees to:

  • Promote BlockEstateDAO through social media posts, networking, community discussions, and educational content.
  • Introduce potential investors, liquidity providers, or strategic partners to the DAO.
  • Conduct outreach within professional and blockchain-related networks.
  • Educate prospects about BESD Tokens, governance, staking, and treasury mechanisms.
  • Abide by all ethical marketing guidelines and refrain from making investment promises or financial guarantees.
  1. Ambassador Participation Criteria

To qualify as a BlockEstateDAO Ambassador, an individual or entity must:

  • Have an active presence in crypto, real estate, or finance communities.
  • Demonstrate an understanding of decentralized governance and DeFi concepts.
  • Be able to effectively communicate the benefits of BlockEstateDAO.
  • Comply with all legal and regulatory requirements, including proper disclosures for promotional activities.

BlockEstateDAO reserves the right to approve or reject an Ambassador application based on eligibility criteria.

  1. Compensation and Rewards

Ambassadors will be compensated based on performance and engagement through the following structure:

4.1 Referral Incentives

  • Ambassadors will receive 10% of the total profit distributions earned by any investor they refer for the first 12 months after onboarding.
  • Payouts are made in BESD Tokens or stablecoins based on the DAO’s treasury management policies.

4.2 Performance-Based Bonuses

  • Additional bonuses may be awarded for significant contributions, such as onboarding high-value investors or securing strategic partnerships.
  • Exceptional performance can lead to elevated roles within the DAO, such as advisory participation.

4.3 Reward Disbursement

  • Payouts occur on a quarterly basis via smart contract execution.
  • Transaction fees and gas costs are deducted from rewards, as applicable.
  • BlockEstateDAO reserves the right to review and validate referral authenticity before processing payments.
  1. Compliance & Ethical Conduct

Ambassadors must:

  • Not misrepresent BlockEstateDAO’s services, governance structure, or token utility.
  • Adhere to legal requirements in their jurisdiction, including regulations on promotional content.
  • Disclose affiliation with BlockEstateDAO when promoting the DAO.
  • Avoid aggressive marketing tactics, spam, or misleading statements.
  • Comply with applicable KYC/AML policies if required for reward distribution.

Failure to comply with ethical and legal requirements may result in termination of Ambassador status and forfeiture of rewards.

  1. Intellectual Property & Branding
  • Ambassadors are permitted to use approved BlockEstateDAO branding, logos, and marketing materials.
  • Any new content, designs, or marketing materials created by an Ambassador remain the property of BlockEstateDAO.
  • Unauthorized use of branding or misrepresentation of affiliation may result in legal action.
  1. Term and Termination
  • This Agreement is valid for six (6) months from the Effective Date and will automatically renew for additional six-month periods unless terminated.
  • BlockEstateDAO may terminate this Agreement at any time for non-compliance, unethical behavior, or failure to meet performance expectations.
  • An Ambassador may terminate their participation with 30 days’ written notice.

Upon termination, all pending rewards are forfeited unless otherwise approved by DAO governance.

  1. Non-Disparagement & Brand Protection

Ambassadors agree not to make negative or misleading statements about BlockEstateDAO, its operations, or its leadership.

If requested by BlockEstateDAO, the Ambassador must remove any social media posts or content deemed inconsistent with the DAO’s branding guidelines.

  1. Confidentiality

Ambassadors may have access to confidential information, including DAO strategies and private discussions. The Ambassador agrees to:

  • Not disclose any non-public information without prior written consent.
  • Protect all proprietary information with a reasonable standard of care.
  • Destroy or return any confidential materials upon termination of this Agreement.

This obligation remains in effect for two (2) years after termination of the Agreement.

  1. Limitation of Liability
  • BlockEstateDAO is not responsible for any misrepresentations made by the Ambassador.
  • The DAO does not guarantee token value appreciation or investor returns.
  • BlockEstateDAO’s maximum liability under this Agreement is limited to the unpaid compensation due to the Ambassador.
  1. Governing Law & Dispute Resolution
  • This Agreement is governed by the laws of Delaware, United States.
  • Any disputes shall first be addressed through DAO governance mechanisms.
  • If unresolved, disputes will be settled via arbitration in Delaware.
  1. Amendments & Final Provisions
  • BlockEstateDAO may modify this Agreement through a DAO governance vote.
  • Any modifications will be communicated in advance to active Ambassadors.
  • Ambassadors must review and accept amendments to continue participation.

Annex A – Ambassador Services & Payment Terms

  1. Ambassador Responsibilities
  • Actively promote BlockEstateDAO across social media, events, and professional networks.
  • Engage in educational efforts to inform potential investors about governance and staking mechanisms.
  • Create content that complies with DAO branding and messaging.
  1. Compensation Structure
  • 10% of the first 12 months’ profit distributions from referred investors.
  • Bonuses for significant contributions (at DAO’s discretion).
  • Rewards are distributed quarterly in BESD Tokens or stablecoins.
  1. DAO Sales Enablement Support
  • BlockEstateDAO will provide marketing materials, FAQs, and branding assets.
  • Ambassadors will receive access to DAO webinars, Q&A sessions, and strategic guidance.
  1. Termination & Payout Restrictions
  • If terminated for non-compliance, pending rewards are forfeited.
  • Rewards are subject to DAO governance approval before disbursement.
